Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you or the entity you represent ("Customer," "you," or "your") and Final Phase Solutions, Inc. ("Final Phase Solutions," "we," "our," or "us") governing your access to and use of AetherFlow, our enterprise ECM migration platform, and all associated services, documentation, and APIs (collectively, the "Service").

By clicking "Accept," creating an account, or accessing the Service in any way, you agree to be bound by these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not access or use the Service.

⚠️  These Terms include an arbitration clause and class action waiver in Section 11. Please read them carefully before using the Service.

Services Description

AetherFlow is an enterprise-grade ECM (Enterprise Content Management) migration platform that enables organizations to migrate content, metadata, and documents between ECM systems with high fidelity, automation, and auditability.

The Service is available under the following subscription tiers, subject to the pricing in effect at the time of your subscription:

All paid plans include a 14-day free trial with full feature access. No credit card is required to start a trial. Trial accounts are subject to these Terms in their entirety.

Service Modifications

We reserve the right to modify, enhance, or discontinue features of the Service with reasonable notice. We will not materially reduce core functionality available in your subscribed plan without providing at least 30 days advance notice and offering a pro-rated refund option.

Accounts & Access

Account Registration

To use AetherFlow, you must create an account with a valid email address and provide accurate, complete information. You are responsible for keeping your account information current.

Credentials & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

  • Use a strong, unique password for your AetherFlow account
  • Enable multi-factor authentication (MFA) — strongly recommended for all accounts
  • Immediately notify us at security@aetherflow.app of any unauthorized access or suspected breach
  • Not share account credentials with unauthorized individuals
  • Not use another user's account without express permission

Authorized Users

Enterprise plans may allow multiple user seats within a single organization account. The account owner is responsible for all activity by authorized users and for ensuring those users comply with these Terms. You may not exceed your plan's permitted number of authorized users without upgrading your plan.

Acceptable Use

AetherFlow is designed for legitimate enterprise ECM migration use cases. You agree to use the Service only for lawful purposes and in compliance with these Terms and all applicable laws and regulations.

Permitted Uses

  • Migrating content between ECM systems your organization owns or has rights to
  • Configuring and automating migration workflows for your business operations
  • Building integrations via the AetherFlow API for internal automation
  • Exporting compliance reports and audit trails for regulatory purposes

Prohibited Uses

You may not use AetherFlow to:

  • Migrate content from systems you do not own or have explicit authorization to access
  • Circumvent security controls, access restrictions, or authentication mechanisms of any system
  • Transmit malware, ransomware, or other malicious code through migration workflows
  • Violate any applicable law, including data privacy regulations or intellectual property law
  • Reverse engineer, decompile, or attempt to extract source code of the Service
  • Resell, sublicense, or provide the Service to third parties without written authorization
  • Use the Service to compete with AetherFlow or build a substantially similar product
  • Conduct load tests or automated stress testing without prior written approval
  • Scrape, harvest, or otherwise systematically extract data from the Service
  • Interfere with or disrupt the integrity or performance of the Service or its infrastructure

We reserve the right to investigate violations and suspend or terminate accounts that breach these provisions. We will report illegal activity to appropriate law enforcement authorities.

Billing & Payments

Free Trial

All paid plans include a 14-day free trial. During the trial period, you have full access to features included in your selected plan. No charge is made until the trial period ends. You may cancel at any time during the trial without charge.

Subscription & Billing Cycles

Paid subscriptions are billed monthly in advance. Your subscription renews automatically at the end of each billing period unless cancelled. Prices are listed in USD and are exclusive of applicable taxes.

  • Starter Plan: $999 per month
  • Professional Plan: $2,499 per month
  • Enterprise Plan: Custom pricing agreed upon in a separate order form or SOW

Payment Processing

Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on the applicable billing date. If a charge fails, we will retry and notify you. Accounts with unpaid invoices more than 10 days past due may be suspended.

Price Changes

We may change subscription pricing with at least 30 days advance notice. Price changes take effect at the start of your next billing cycle following the notice period. If you disagree with a price change, you may cancel before the new pricing takes effect.

Refund Policy

AetherFlow subscription fees are generally non-refundable except in the following circumstances:

  • You cancel during the 14-day free trial period — no charge applies
  • We materially reduce core functionality without adequate notice — pro-rated refund for unused period
  • We terminate your account without cause — pro-rated refund for unused period
  • Billing errors or unauthorized charges — full refund upon verified request

To request a refund, contact billing@aetherflow.app within 30 days of the charge in question.

Taxes

Subscription fees are exclusive of taxes. You are responsible for all applicable sales, use, VAT, GST, or similar taxes. We will include applicable taxes on invoices where required by law.

Service Availability (SLA)

Uptime Commitment

We target 99.5% monthly uptime for the AetherFlow platform. Uptime is measured as the percentage of total minutes in a calendar month during which the Service is operational and accessible, excluding scheduled maintenance windows.

Scheduled Maintenance

We may perform scheduled maintenance during low-traffic windows (typically Sundays 02:00–06:00 UTC). We will provide at least 48 hours advance notice for maintenance expected to impact service availability for more than 30 minutes.

Incident Communication

Service status, incidents, and maintenance windows are communicated via our status page and email notifications. Enterprise customers receive direct notification via their dedicated success manager for P1 incidents.

SLA Credits

Enterprise customers with contractual SLAs are eligible for service credits if uptime falls below the agreed threshold in a given month. Credits are calculated as a percentage of the monthly fee and applied to the following billing period. Credits are the sole remedy for SLA breaches and do not entitle you to a cash refund.

Data & Migration Content

Your Data Ownership

You retain full ownership of all content, documents, metadata, and data that you migrate through AetherFlow ("Customer Data"). These Terms do not grant Final Phase Solutions any ownership rights to your Customer Data.

License to Process

You grant Final Phase Solutions a limited, non-exclusive license to access, process, store, and transmit your Customer Data solely for the purpose of providing the Service as configured by you. This license is strictly limited to service delivery and expires upon termination of your account.

Data Handling Obligations

We will handle your Customer Data in accordance with our Privacy Policy. In addition, we commit to:

  • Not accessing Customer Data except as necessary to provide the Service or resolve support requests with your authorization
  • Not using Customer Data to train machine learning models or for any purpose beyond service delivery
  • Not disclosing Customer Data to third parties except as required by law or as directed by you
  • Encrypting Customer Data in transit and at rest
  • Deleting Customer Data within 30 days of account termination

Data Processing Agreements

Enterprise customers who process personal data of EU/EEA data subjects may require a Data Processing Agreement (DPA) under GDPR. We provide standard DPAs upon request. Contact privacy@aetherflow.app to initiate.

Customer Responsibility for Source Data

You are solely responsible for ensuring you have the legal right to migrate the content and data you process through AetherFlow. You represent and warrant that:

  • You own or have authorization to migrate all Customer Data processed through the Service
  • Processing the Customer Data through AetherFlow does not violate any applicable law or third-party rights
  • You have obtained all necessary consents for migrating personal data where required by law

Intellectual Property

AetherFlow Ownership

AetherFlow, including the platform, source code, algorithms, MetaMap™ transformation engine, connectors, documentation, logos, and all related intellectual property, is owned exclusively by Final Phase Solutions, Inc. and protected by United States and international copyright, trademark, trade secret, and patent laws.

These Terms do not transfer any ownership rights to you. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the subscription term.

Restrictions

  • You may not copy, modify, or create derivative works of the Service
  • You may not reverse engineer or attempt to extract source code
  • You may not remove or alter any proprietary notices, labels, or marks
  • You may not use our trademarks, logos, or branding without written permission

Feedback

If you provide suggestions, feature requests, or other feedback about the Service ("Feedback"), you grant Final Phase Solutions a perpetual, irrevocable, royalty-free license to use and incorporate that Feedback into the Service without obligation to you. We appreciate all feedback — it helps make AetherFlow better.

Open Source Components

The Service may incorporate open source software components. Such components are governed by their respective open source licenses, which are available upon request.

Liability & Disclaimers

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FINAL PHASE SOLUTIONS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that any defects will be corrected. We do not warrant that the Service will meet your specific requirements, though we will work with you to achieve your migration goals.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FINAL PHASE SOLUTIONS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, goodwill, or business opportunities
  • Damages arising from unauthorized access to or alteration of your data
  • Damages resulting from your use or inability to use the Service
  • Damages resulting from errors or interruptions in connectivity

IN ALL CASES, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO FINAL PHASE SOLUTIONS IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $500 USD.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations apply to the extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Final Phase Solutions and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service in violation of these Terms
  • Your Customer Data or your migration of content you do not have rights to
  • Your violation of any applicable law or third-party rights
  • Unauthorized access to the Service using your credentials

Termination

Termination by You

You may cancel your subscription at any time from your account settings or by contacting support@aetherflow.app. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of the period for which you have paid.

During the 14-day free trial, you may cancel at any time with no charge. Upon trial cancellation, access terminates immediately.

Termination by Us

We may suspend or terminate your account with immediate effect if:

  • You materially breach these Terms and fail to cure the breach within 10 days of written notice
  • You engage in conduct that violates applicable law or poses a security risk to the Service or other users
  • You fail to pay subscription fees and remain delinquent for more than 30 days
  • We are required to do so by law or court order

We may also terminate the Service entirely upon 90 days written notice. In this case, we will provide a pro-rated refund for unused prepaid subscription time.

Effect of Termination

Upon termination for any reason:

  • Your right to access and use the Service immediately ceases
  • We will retain your Customer Data for 30 days, during which you may export it
  • After 30 days, your Customer Data will be permanently deleted
  • You remain liable for all fees incurred through the date of termination
  • Provisions of these Terms that by their nature should survive termination will do so, including IP ownership, liability limitations, and dispute resolution

Disputes & Governing Law

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Informal Resolution

Before initiating formal proceedings, both parties agree to first attempt to resolve disputes informally. You may contact us at legal@aetherflow.app with a written description of the dispute. We will attempt to resolve it within 30 days. This informal process is a prerequisite to arbitration.

Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in English. The arbitrator's decision will be final and binding, and may be entered as a judgment in any court of competent jurisdiction.

Exceptions to mandatory arbitration (either party may bring these in court):

  • Claims for injunctive or other equitable relief to prevent unauthorized use of intellectual property
  • Small claims that fall within the jurisdiction of a small claims court

Class Action Waiver

YOU AND FINAL PHASE SOLUTIONS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

Venue for Non-Arbitrable Claims

For any claims that are not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware, United States, and waive any objection to such jurisdiction or venue.

Modifications to Terms

We may modify these Terms at any time. When we make material changes, we will:

  • Post the updated Terms on this page with a new "Last Updated" date
  • Send an email notification to registered account owners at least 30 days before changes take effect
  • Display an in-app notification for significant changes that affect your rights

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you disagree with the changes, you may cancel your subscription before the effective date and receive a pro-rated refund for prepaid unused time.

For changes required by law or to address security vulnerabilities, we may not be able to provide 30 days notice, but will provide as much notice as reasonably possible.
