These Terms of Service ("Terms") constitute a legally binding agreement between you or the entity you represent ("Customer," "you," or "your") and Final Phase Solutions, Inc. ("Final Phase Solutions," "we," "our," or "us") governing your access to and use of AetherFlow, our enterprise ECM migration platform, and all associated services, documentation, and APIs (collectively, the "Service").
By clicking "Accept," creating an account, or accessing the Service in any way, you agree to be bound by these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, do not access or use the Service.

AetherFlow is an enterprise-grade ECM (Enterprise Content Management) migration platform that enables organizations to migrate content, metadata, and documents between ECM systems with high fidelity, automation, and auditability.
The Service is available under the following subscription tiers, subject to the pricing in effect at the time of your subscription:

All paid plans include a 14-day free trial with full feature access. No credit card is required to start a trial. Trial accounts are subject to these Terms in their entirety.
We reserve the right to modify, enhance, or discontinue features of the Service with reasonable notice. We will not materially reduce core functionality available in your subscribed plan without providing at least 30 days advance notice and offering a pro-rated refund option.
To use AetherFlow, you must create an account with a valid email address and provide accurate, complete information. You are responsible for keeping your account information current.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:
Enterprise plans may allow multiple user seats within a single organization account. The account owner is responsible for all activity by authorized users and for ensuring those users comply with these Terms. You may not exceed your plan's permitted number of authorized users without upgrading your plan.
AetherFlow is designed for legitimate enterprise ECM migration use cases. You agree to use the Service only for lawful purposes and in compliance with these Terms and all applicable laws and regulations.
You may not use AetherFlow to:
We reserve the right to investigate violations and suspend or terminate accounts that breach these provisions. We will report illegal activity to appropriate law enforcement authorities.
All paid plans include a 14-day free trial. During the trial period, you have full access to features included in your selected plan. No charge is made until the trial period ends. You may cancel at any time during the trial without charge.
Paid subscriptions are billed monthly in advance. Your subscription renews automatically at the end of each billing period unless cancelled. Prices are listed in USD and are exclusive of applicable taxes.
Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on the applicable billing date. If a charge fails, we will retry and notify you. Accounts with unpaid invoices more than 10 days past due may be suspended.
We may change subscription pricing with at least 30 days advance notice. Price changes take effect at the start of your next billing cycle following the notice period. If you disagree with a price change, you may cancel before the new pricing takes effect.
AetherFlow subscription fees are generally non-refundable except in the following circumstances:

Subscription fees are exclusive of taxes. You are responsible for all applicable sales, use, VAT, GST, or similar taxes. We will include applicable taxes on invoices where required by law.
We target 99.5% monthly uptime for the AetherFlow platform. Uptime is measured as the percentage of total minutes in a calendar month during which the Service is operational and accessible, excluding scheduled maintenance windows.

We may perform scheduled maintenance during low-traffic windows (typically Sundays 02:00–06:00 UTC). We will provide at least 48 hours advance notice for maintenance expected to impact service availability for more than 30 minutes.
Service status, incidents, and maintenance windows are communicated via our status page and email notifications. Enterprise customers receive direct notification via their dedicated success manager for P1 incidents.
Enterprise customers with contractual SLAs are eligible for service credits if uptime falls below the agreed threshold in a given month. Credits are calculated as a percentage of the monthly fee and applied to the following billing period. Credits are the sole remedy for SLA breaches and do not entitle you to a cash refund.
You retain full ownership of all content, documents, metadata, and data that you migrate through AetherFlow ("Customer Data"). These Terms do not grant Final Phase Solutions any ownership rights to your Customer Data.
You grant Final Phase Solutions a limited, non-exclusive license to access, process, store, and transmit your Customer Data solely for the purpose of providing the Service as configured by you. This license is strictly limited to service delivery and expires upon termination of your account.
We will handle your Customer Data in accordance with our Privacy Policy. In addition, we commit to:
Enterprise customers who process personal data of EU/EEA data subjects may require a Data Processing Agreement (DPA) under GDPR. We provide standard DPAs upon request. Contact privacy@aetherflow.app to initiate.
You are solely responsible for ensuring you have the legal right to migrate the content and data you process through AetherFlow. You represent and warrant that:
AetherFlow, including the platform, source code, algorithms, MetaMap™ transformation engine, connectors, documentation, logos, and all related intellectual property, is owned exclusively by Final Phase Solutions, Inc. and protected by United States and international copyright, trademark, trade secret, and patent laws.
These Terms do not transfer any ownership rights to you. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the subscription term.
If you provide suggestions, feature requests, or other feedback about the Service ("Feedback"), you grant Final Phase Solutions a perpetual, irrevocable, royalty-free license to use and incorporate that Feedback into the Service without obligation to you. We appreciate all feedback — it helps make AetherFlow better.
The Service may incorporate open source software components. Such components are governed by their respective open source licenses, which are available upon request.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FINAL PHASE SOLUTIONS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that any defects will be corrected. We do not warrant that the Service will meet your specific requirements, though we will work with you to achieve your migration goals.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FINAL PHASE SOLUTIONS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR:
IN ALL CASES, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO FINAL PHASE SOLUTIONS IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $500 USD.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations apply to the extent permitted by law.
You agree to indemnify, defend, and hold harmless Final Phase Solutions and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:
You may cancel your subscription at any time from your account settings or by contacting support@aetherflow.app. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of the period for which you have paid.
During the 14-day free trial, you may cancel at any time with no charge. Upon trial cancellation, access terminates immediately.
We may suspend or terminate your account with immediate effect if:
We may also terminate the Service entirely upon 90 days written notice. In this case, we will provide a pro-rated refund for unused prepaid subscription time.
Upon termination for any reason:
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Before initiating formal proceedings, both parties agree to first attempt to resolve disputes informally. You may contact us at legal@aetherflow.app with a written description of the dispute. We will attempt to resolve it within 30 days. This informal process is a prerequisite to arbitration.
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in English. The arbitrator's decision will be final and binding, and may be entered as a judgment in any court of competent jurisdiction.
Exceptions to mandatory arbitration (either party may bring these in court):
YOU AND FINAL PHASE SOLUTIONS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
For any claims that are not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware, United States, and waive any objection to such jurisdiction or venue.
We may modify these Terms at any time. When we make material changes, we will:
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you disagree with the changes, you may cancel your subscription before the effective date and receive a pro-rated refund for prepaid unused time.
For changes required by law or to address security vulnerabilities, we may not be able to provide 30 days notice, but will provide as much notice as reasonably possible.
